Acceptance of Terms
These Terms of Service govern your access to and use of any Vantyro website, software, systems, communications, or services, including but not limited to intake systems, automation, voice, chat, messaging, dashboards, and related tools.
By accessing or using any Vantyro service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms presented in connection with specific services.
If you do not agree, do not use the services.
Description of Services
Vantyro installs and operates structured intake, response, and follow-up systems for service businesses. Our services may include:
- Call answering and intake capture
- SMS, chat, and email response systems
- Routing and notification logic
- Automation workflows
- Reporting and system monitoring
Vantyro does not provide legal, financial, marketing performance guarantees, or business outcome guarantees. We do not control client pricing, scheduling decisions, staffing, or service delivery.
Client Responsibilities
You are responsible for:
- Providing accurate business information
- Maintaining proper staffing and scheduling
- Complying with all applicable laws and regulations
- Obtaining consent from your customers for communications
- Reviewing and acting on captured intake and messages
You acknowledge that failure to respond to captured demand, missed internal follow-up, or business decisions remain your responsibility.
SMS Messaging Terms and Compliance
Program Description
Vantyro-powered SMS programs send service-related messages such as confirmations, reminders, intake follow-ups, and system notifications based on explicit opt-in.
Consent
- SMS messages are sent only after explicit opt-in
- Consent records are timestamped and retained
- You represent that all customer opt-ins are valid and lawful
Opt-Out
- Customers may reply STOP at any time
- Opt-out requests are honored within 24 hours
- Re-enrollment requires a new opt-in
Message Frequency and Rates
- Message frequency varies by activity
- Message and data rates may apply
- Carriers are not responsible for delayed or undelivered messages
Supported Carriers
Services operate with major U.S. carriers, including AT&T, Verizon, T-Mobile, and regional providers.
Age Restriction
Participants must be 18 years or older.
Data Use and Privacy
All data is handled according to our Privacy Policy. Vantyro does not sell or rent personal data. You grant Vantyro permission to process data solely for the purpose of delivering services.
Intellectual Property
All Vantyro systems, workflows, software, designs, logic, documentation, and materials are owned by Vantyro LLC or its licensors. You receive a limited, non-transferable, revocable license to use the services during your active subscription.
You may not:
- Copy or reverse engineer systems
- Resell or sublicense services
- Use services outside their intended scope
User Content and Submissions
By submitting data, content, or configuration information, you grant Vantyro a limited license to use it solely to operate and improve services. You represent that you have the legal right to provide such content.
Disclaimers
Services are provided "as is" and "as available." To the fullest extent permitted by law:
- We disclaim all warranties, express or implied
- We do not guarantee uptime, conversion rates, revenue, or outcomes
- We do not guarantee uninterrupted or error-free service
Vantyro systems support business operations but do not replace human judgment or management.
Limitation of Liability
To the maximum extent permitted by law, Vantyro LLC shall not be liable for:
- Lost revenue or profits
- Missed jobs or opportunities
- Business interruption
- Customer disputes
- Indirect, incidental, or consequential damages
Total liability shall not exceed the fees paid to Vantyro in the prior 30 days.
Indemnification
You agree to indemnify and hold harmless Vantyro LLC, its officers, employees, and partners from claims arising from:
- Your business operations
- Your customer communications
- Failure to obtain proper consent
- Violation of laws or regulations
- Misuse of services
Third-Party Services
Vantyro may integrate with third-party platforms or providers. We are not responsible for:
- Third-party outages
- Changes to external APIs
- Carrier behavior or delivery issues
Your use of third-party services is subject to their terms.
Suspension and Termination
We may suspend or terminate access if:
- These Terms are violated
- Use poses legal or operational risk
- Non-payment occurs
- Use is unlawful or abusive
Upon termination, access to systems ceases immediately.
Billing and Fees
Fees are billed as agreed in your service agreement or order form. Failure to pay may result in suspension or termination. All fees are non-refundable unless explicitly stated otherwise in writing.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute shall be resolved through binding arbitration in Illinois.
Changes to Terms
We may update these Terms periodically. Continued use of services after changes constitutes acceptance.
